Terms of Service & Participation Agreement

By creating an account, enrolling in the NIL Professional platform, or using any services offered by NIL Professional LLC ("Company," "we," "us"), you ("User," "Athlete," "Parent/Guardian") agree to be legally bound by these Terms of Service. Please read carefully before proceeding.

If you are under the age of 18, your parent or legal guardian must review and agree to these Terms on your behalf. Both the minor athlete and their parent/guardian are bound by these Terms.

Section 1: Relationship of Parties & Agency Disclaimer

1.1 Not a Certified Athlete Agent

NIL Professional is a technology-enabled marketplace, educational platform, and brand-building tool. It is not a certified athlete agent, sports management firm, or talent agency. By using this platform, you acknowledge that NIL Professional:

  • Does not provide professional representation as defined by the Uniform Athlete Agent Act (UAAA) or the Sports Agent Responsibility and Trust Act (SPARTA).

  • Does not hold itself out as a "representative" for the purpose of negotiating professional sports contracts or marketing agreements on behalf of any User.

  • Cannot sign, execute, or enter into any agreement as your agent or representative.


1.2 No Power to Bind

NIL Professional has no legal authority to bind any User — Athlete, Parent/Guardian, or Brand — to any contract. All agreements facilitated through the platform are entered into directly between the Athlete (and their Parent/Guardian where applicable) and the Brand. NIL Professional is not a party to any Name, Image, and Likeness (NIL) contract and bears no liability under such agreements.

1.3 Independent Negotiation & Execution

The Athlete and Brand are solely responsible for:

  • Negotiation: Determining the scope of work, deliverables, timelines, and compensation.

  • Legal Review: Conducting independent legal and financial due diligence on any deal.

  • Execution: Signing the final agreement using their own preferred legal methods.

  • Compliance: Ensuring the deal meets applicable state, school, and governing body requirements.

1.4 Service Fees vs. Commissions

Fees paid to NIL Professional are for platform access, marketing visibility, recruitment tools, and educational resources. NIL Professional does not take a percentage commission on Athlete earnings unless explicitly stated in a separate, written Professional Services Agreement signed by both parties.

Section 2: Nature of Services

NIL Professional provides marketing, brand development, recruitment facilitation, and NIL-related support services. Services may include, but are not limited to:

  • Access to NIL opportunities, brand campaigns, and ambassador programs

  • Athlete profile creation, hosting, and brand visibility tools

  • Custom merchandise setup, management, and payout processing

  • Recruitment outreach tools, coaching contact directories, and college exposure features

  • Paid advertising utilizing athlete-submitted content (where applicable and consented to)

  • Education, compliance templates, scripts, and brand-building resources

  • Parent/Guardian portal access and deal visibility tools

  • Social media exposure, graphics, promotional features, and content scheduling assistance

NIL Professional does not guarantee NIL earnings, paid partnerships, brand acceptance, recruitment outcomes, scholarship offers, or roster spots. Success depends on athlete performance, brand fit, compliance, and third-party decisions entirely outside our control.

Section 3: Membership, Access & Billing

3.1 Membership Tiers

NIL Professional requires an active, paid membership to access platform features. Accounts with unpaid membership fees will be placed in Pending status. Pending or inactive accounts are not eligible for:

  • Merchandise payout disbursements

  • NIL opportunity access and brand deal applications

  • Recruitment tool usage and coaching directory access

  • Paid campaign consideration and promotional features

3.2 Right of Offset

NIL Professional reserves the right to deduct outstanding subscription fees, chargebacks, or administrative costs directly from earned merchandise profits or deal payouts prior to disbursement. Overdue account balances will be satisfied from pending payouts before any net profit is released.

3.3 Account Cancellation & Final Settlement

Athletes may cancel their membership at any time via the account dashboard (preferred), which connects to the Stripe billing portal, or by emailing support@nilprofessional.com with full name and account email. Upon cancellation:

  • A final reconciliation will be performed and any remaining account balances deducted from final earnings.

  • Remaining funds — less a standard 30-day Return & Chargeback Buffer — will be issued as a final settlement.

  • All services and payout eligibility resume only upon membership reinstatement.

3.4 Multiple Accounts & Stripe Payments

Users acknowledge that creating multiple accounts through the Stripe payment flow will trigger separate, independent charges. Each account bills independently 30 days after creation. NIL Professional cannot create accounts on behalf of users and is not liable for duplicate charges resulting from multiple account creation. Users are not eligible for refunds on charges resulting from multiple account creation.

3.5 Refund Policy

Membership fees are non-refundable once services have been accessed, including dashboard access, opportunity listings, and merchandise setup. Refund requests may be considered within 7 days of sign-up only if no services have been delivered. Requests must be submitted to support@nilprofessional.com with full name, email, date of purchase, and reason.

Section 4: NIL Opportunities, Campaigns & Compliance

4.1 Opportunity Access

NIL Professional provides athletes with access to NIL opportunities, which may include public affiliate and ambassador programs, discount code campaigns, product seeding opportunities, brand-managed programs, and paid deal applications subject to brand approval. Some opportunities may be publicly available affiliate or ambassador programs curated and presented for educational discovery purposes.

4.2 Governing Body Compliance

Athletes are solely responsible for ensuring NIL activities comply with all applicable rules, including:

  • NCAA, NAIA, NJCAA, or applicable governing body rules

  • State NIL laws applicable to the athlete's state of residence and institution

  • School, institutional, and athletic department policies

  • 2026 College Sports Commission (CSC) guidelines and NIL Go disclosure requirements

4.3 Mandatory Disclosure (NIL Go)

Under CSC guidelines, athletes are solely responsible for the mandatory disclosure of all NIL deals through the NIL Go portal within the required 5-day window. While NIL Professional may provide tools to assist in generating disclosure reports, the legal obligation to submit rests entirely with the Athlete. NIL Professional does not guarantee that any deal meets Fair Market Value (FMV) standards as determined by the CSC algorithm.

4.4 No Guarantee of Acceptance or Earnings

NIL Professional does not guarantee athlete acceptance into any opportunity, earnings from any campaign, or brand approval. All brand decisions are made solely by the brand. NIL Professional is not liable for non-compliance, failure to disclose income, or eligibility violations arising from NIL activity.

Section 5: Merchandise & Compensation

Unless otherwise stated in a separate written agreement:

  • Merchandise profits are split 75% to the Athlete and 25% to NIL Professional.

  • Payouts are processed monthly via PayPal, Stripe, or another approved payment method.

  • Athlete must maintain an active membership to receive payout disbursements.

  • NIL Professional reserves the right to withhold payout if content quality standards are not met (see Section 9).


Section 6: Recruitment Tools & Communication Services

6.1 Third-Party Integration (Gmail & Google OAuth)

NIL Professional allows Users to connect their personal Google/Gmail accounts via OAuth (Open Authorization) to facilitate recruitment outreach. By connecting your account, you grant NIL Professional permission to send and/or view emails on your behalf strictly as necessary for the recruitment workflow. NIL Professional does not own your email data. Access may be revoked at any time through your Google Security settings.

6.2 In-Platform Communication & Anti-Spam Compliance

The platform provides tools to draft and send emails directly to third parties (e.g., college coaches) using your connected email account. You are solely responsible for the content, frequency, and legality of all emails sent. Users agree not to use platform tools for mass unsolicited outreach and must comply with all applicable laws including the CAN-SPAM Act. NIL Professional reserves the right to suspend accounts flagged for abusive behavior or violation of university solicitation policies.

6.3 Coaching Directory & Data Accuracy

The platform provides a proprietary directory of coaching contact information and athletic department data for informational purposes only. While NIL Professional strives for accuracy, coaching staff and contact details change frequently; we do not guarantee the validity or real-time accuracy of any contact information provided. The coaching directory is the intellectual property of NIL Professional. Users are prohibited from using automated tools, scrapers, or bots to export or harvest this data for use outside the platform's intended recruitment functions.

6.4 NCAA Contact Period Compliance

Users are responsible for ensuring all outreach complies with contact period rules and communication regulations set forth by the NCAA, NAIA, NJCAA, or applicable governing bodies. NIL Professional is not responsible for any eligibility violations resulting from improper or out-of-season communications initiated by the User.

6.5 No Guarantee of Recruitment Outcomes

NIL Professional is a facilitation tool, not a recruiting service or placement agency. Providing a coach's contact information does not constitute an endorsement of the Athlete by NIL Professional. The platform does not guarantee that emails will be read, that coaches will respond, or that use of these tools will result in recruitment, roster spots, athletic scholarships, or any other outcome.

Section 7: Parental & Guardian Consent & Participation

7.1 Minor Athlete Accounts

NIL Professional serves athletes ages 14-25. Athletes under the age of 18 ("Minor Athletes") must have a parent or legal guardian ("Parent/Guardian") who reviews, agrees to, and countersigns these Terms of Service prior to account activation. By allowing a Minor Athlete to create or use an account, the Parent/Guardian agrees to these Terms on behalf of both themselves and the Minor Athlete.

7.2 Parent/Guardian Portal Access

NIL Professional provides a Parent/Guardian Portal that allows authorized parents or guardians to:

  • View all NIL deals, campaigns, and brand opportunities the athlete has applied for or accepted

  • Review deal terms, compensation structures, and disclosure requirements

  • Receive notifications of new deal applications submitted by the athlete

  • Access compliance resources and state NIL law summaries

  • Review recruitment outreach activity and coaching contact history

  • Manage account settings and payment information on behalf of a Minor Athlete

7.3 Parental Consent for NIL Deals

For Minor Athletes, any NIL deal, ambassador agreement, merchandise arrangement, or compensation arrangement facilitated through the platform requires documented parental or guardian consent before execution. NIL Professional may, at its sole discretion, require:

  • Written consent form signed by the Parent/Guardian prior to payout disbursement

  • Email confirmation from the Parent/Guardian verifying approval of a specific deal

  • State-specific consent documentation as required by applicable NIL laws

Payouts for Minor Athletes will not be released until documented parental consent is received and verified.

7.4 Parental Responsibility for Compliance

Parents and guardians of Minor Athletes acknowledge that they share responsibility — alongside the athlete — for:

  • Understanding and complying with all applicable state NIL laws, including any state-specific age restrictions on NIL participation

  • Ensuring the Minor Athlete has obtained all required approvals from their school, athletic association, and state governing body

  • Reviewing all brand agreements independently or with qualified legal counsel before the athlete participates

  • Monitoring the athlete's recruitment communications and ensuring NCAA/NAIA contact period compliance

  • Reporting NIL income appropriately for tax purposes on the family's tax filings

7.5 Parental Liability & Indemnification

By accepting these Terms on behalf of a Minor Athlete, the Parent/Guardian agrees to indemnify, defend, and hold harmless NIL Professional, its officers, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of:

  • The Minor Athlete's use of the platform or participation in any NIL activity

  • Any NIL eligibility violations resulting from the athlete's participation

  • Misrepresentation of the athlete's age, eligibility status, or compliance clearance

  • Any failure to obtain required school, state, or governing body approvals

7.6 Age Verification & Misrepresentation

Users must accurately represent the athlete's age at time of enrollment. Providing false age information to circumvent Minor Athlete requirements is a material breach of these Terms and may result in immediate account termination and forfeiture of any earned funds pending disbursement.

Section 8: High School Athlete NIL Compliance Addendum

8.1 State Law Applicability

High school athletes participating in NIL activities through this platform are subject to significant variation in state NIL laws. Eligibility to receive NIL compensation as a high school athlete depends entirely on the laws of the athlete's state of residence and the rules of their applicable state athletic association. NIL Professional does not guarantee that any opportunity meets every state's or school's eligibility requirements.

8.2 Eligibility Verification Requirement

Before any NIL-related earnings or merchandise payouts can be disbursed, all high school athletes must provide written confirmation of eligibility, including:

  • Confirmation that they are permitted under their state's NIL rules to receive compensation

  • Parental or guardian written consent (required for all athletes under 18)

  • School compliance officer acknowledgment or written clearance where required by state law

  • State athletic association authorization where applicable

8.3 Membership Fees Apply Regardless of NIL Eligibility

High school athletes understand that membership fees apply regardless of any restrictions on NIL payouts, as membership includes services not dependent on NIL earnings. These services include:

  • Custom merchandise setup and management

  • Ambassador program access and brand visibility tools

  • Social media and personal brand-building resources

  • Recruitment exposure, profile features, and athletic promotional tools

  • College recruiting outreach tools and coaching contact directory access

  • Film and highlight reel submission and exposure features

8.4 High School Athlete Recruitment Tool Usage

High school athletes using platform recruitment tools acknowledge that:

  • NCAA dead period and contact period rules strictly govern permissible communications between athletes and college coaches. The platform is a tool for athlete-initiated outreach; it does not facilitate or enable coach-initiated contact in violation of NCAA rules.

  • College coaches may be legally prohibited from responding to certain communications based on the athlete's graduation year and the applicable contact period rules. Failure to receive a response does not indicate a system error.

  • Athletes are responsible for ensuring all outreach complies with NFHS (National Federation of State High School Associations), state athletic association, and school-level policies.

8.5 No Legal or Eligibility Advice

NIL Professional does not provide legal, compliance, or eligibility advice. High school athletes and their parents/guardians are strongly encouraged to consult their school compliance officer, state athletic association, and independent legal counsel before participating in any NIL activity.

Section 9: Athlete Conduct & Content Standards

9.1 Conduct Expectations

By participating, athletes agree to:

  • Maintain professionalism in all brand interactions and platform communications

  • Represent personal statistics, content metrics, and social media data accurately and truthfully

  • Follow all NCAA, state, school, and institutional NIL rules applicable to their situation

  • Avoid conduct that may harm the reputation of brands, partners, or NIL Professional

  • Disclose all existing brand relationships that may create conflicts with new opportunities

  • Comply with all applicable federal, state, and local laws in connection with NIL activities

9.2 Image & Content Usage

NIL Professional reserves the right to use athlete-submitted content, including images and videos, for:

  • Platform social media promotion and brand-building campaigns

  • Paid advertisements on behalf of the athlete's profile

  • Website content, digital marketing materials, and platform demonstrations

  • Educational content, PDF guides, and promotional modules

9.3 Content Quality Standards

NIL Professional may withhold services if submitted content does not meet quality standards. Requirements include:

  • Social spotlights: 1-2 high-quality images featuring only the athlete, in focus, well-lit

  • Merchandise: 3-10 high-quality lifestyle or athletic images

  • No blurry, group, or low-resolution photos

  • Athlete must submit full legal first and last name with all content submissions

NIL Professional reserves the right to determine content eligibility. Violation of conduct expectations may result in removal from the platform.

Section 10: Non-Exclusive & Voluntary Participation

Participation in the NIL Professional network is non-exclusive and entirely voluntary. Athletes are free to work with other agencies, brands, schools, collectives, and NIL platforms simultaneously. Athletes are never required to accept any opportunity presented through the platform. NIL Professional does not act as the athlete's legal agent or exclusive representative and asserts no exclusivity over the athlete's NIL rights, relationships, or activities.

Section 11: Intellectual Property

11.1 Platform Intellectual Property

All platform content, including but not limited to the coaching directory, opportunity listings, educational materials, brand-building tools, and platform technology, is the intellectual property of NIL Professional LLC. Users may not reproduce, distribute, scrape, or commercialize any platform content without express written permission.

11.2 Athlete Content License

By submitting content to the platform, the Athlete (and Parent/Guardian where applicable) grants NIL Professional a non-exclusive, royalty-free, worldwide license to use, display, and distribute submitted content for the purposes described in Section 9.2. This license does not transfer ownership of the content and may be revoked upon written notice, subject to any active campaign or promotion commitments.

Section 12: Limitation of Liability & Indemnification

12.1 Limitation of Liability

To the maximum extent permitted by applicable law, NIL Professional LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of NIL earnings, loss of eligibility, loss of scholarship opportunities, or reputational harm, arising out of or in connection with the use of this platform or any NIL activity facilitated through it.

12.2 User Indemnification

Users (and Parent/Guardians of Minor Athletes) agree to indemnify, defend, and hold harmless NIL Professional LLC, its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising out of:

  • Violation of these Terms of Service

  • Violation of any applicable NIL law, NCAA rule, school policy, or governing body regulation

  • Any NIL deal or recruitment activity conducted through or facilitated by the platform

  • False or misleading information submitted to the platform or to brands

  • Infringement of any third-party intellectual property or privacy rights

Section 13: Privacy & Data

NIL Professional collects, processes, and stores personal data in accordance with our Privacy Policy, available at nilprofessional.com/privacy-policy. By using the platform, you consent to the collection and use of your data as described therein. For Minor Athletes, the Parent/Guardian provides consent for the collection and processing of the athlete's personal data.

NIL Professional does not sell personal data to third parties. Athlete data may be shared with brands and partners only for the specific purpose of facilitating agreed-upon NIL opportunities, and only with the athlete's knowledge.

Section 14: Tax Responsibilities

NIL Professional is not a tax advisor. Athletes (and their Parent/Guardians for Minor Athletes) are solely responsible for reporting and paying all applicable federal, state, and local taxes on NIL income, merchandise earnings, and any other compensation received through the platform. NIL Professional will issue applicable tax documentation (e.g., Form 1099-NEC) as required by law where annual payments meet applicable thresholds.

Section 15: Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.

Section 16: Modifications to Terms

NIL Professional reserves the right to modify these Terms of Service at any time. Users will be notified of material changes via email or in-platform notification. Continued use of the platform following notification constitutes acceptance of the revised Terms. If a Parent/Guardian has agreed to these Terms on behalf of a Minor Athlete, the Parent/Guardian is responsible for reviewing updated Terms and communicating changes to the athlete.

By enrolling in NIL Professional, creating an account, or using any platform service, you acknowledge that you have read, understood, and agree to these Terms of Service in their entirety.
